Merchant Onboarding Terms & Conditions Last Updated: February 26, 2026 These Merchant Onboarding Terms & Conditions (“Terms”) govern the registration and participation of restaurants and food businesses (“Merchant”) on the CraveBoxo platform (“Platform”). By registering an account, the Merchant agrees to be bound by these Terms. 1. Platform Nature CraveBoxo is a restaurant listing and direct ordering infrastructure platform. CraveBoxo: • Provides order transmission technology • Provides merchant dashboard tools • Provides listing visibility • Charges commission for completed orders CraveBoxo does NOT: • Prepare food • Operate restaurant businesses • Provide delivery services • Collect, hold, or remit customer payments Customer payments are made directly to the Merchant. 2. Merchant Eligibility & Representations By onboarding, the Merchant represents that: • It is a legally operating business • It holds valid permits and licenses • It complies with food safety and sanitation laws • It complies with Philippine tax laws • All submitted information is accurate and truthful CraveBoxo reserves the right to verify submitted information. 3. Commission & Fees 3.1 Commission Structure The Merchant agrees to a commission of 7% per completed order (VAT-exclusive) unless otherwise agreed in writing. 3.2 VAT If required under Philippine law, 12% VAT shall apply to the service fee. 3.3 Wallet System • Commission is deducted from the Merchant wallet balance. • Wallet top-ups remain Merchant credit until commission is earned. • Official Receipts are issued only for service fees. CraveBoxo does not withhold taxes on merchant sales revenue as it does not remit merchant funds. 4. Payments • Customers pay the Merchant directly. • CraveBoxo does not act as a payment intermediary. • The Merchant is responsible for payment reconciliation and financial reporting. 5. Order Fulfillment The Merchant is solely responsible for: • Order preparation • Food quality • Pricing accuracy • Menu updates • Operating hours • Delivery arrangements (if applicable) CraveBoxo is not liable for operational failures. 6. Cancellations & Refunds • Customers cannot cancel orders once placed unless approved by the Merchant. • The Merchant may cancel orders when necessary. • Excessive cancellations may result in suspension. All refund decisions are solely the responsibility of the Merchant. CraveBoxo does not process refunds or mediate payment disputes. 7. Delivery CraveBoxo does not operate logistics services. The Merchant is fully responsible for: • Delivery operations • Delivery personnel • Delivery fees • Delivery disputes 8. Performance Standards The Merchant agrees to: • Maintain reasonable order acceptance rates • Avoid excessive cancellations • Keep menu items updated • Maintain professional customer conduct CraveBoxo reserves the right to review performance. 9. Suspension & Termination CraveBoxo may suspend or terminate accounts for: • Policy violations • Continuous cancellations • Fraudulent activity • Non-payment of commission • Misrepresentation Unpaid fees remain due upon termination. 10. Intellectual Property The Merchant grants CraveBoxo permission to display: • Business name • Logo • Menu items • Promotional materials For listing and marketing purposes. 11. Limitation of Liability To the fullest extent permitted by law: CraveBoxo shall not be liable for: • Business losses • Customer disputes • Food safety issues • Regulatory penalties • Delivery failures • Indirect or consequential damages Merchant assumes full responsibility for its operations. 12. Indemnification The Merchant agrees to indemnify and hold CraveBoxo harmless from claims arising from: • Food-related complaints • Regulatory violations • Customer disputes • Tax non-compliance 13. Amendments CraveBoxo may update these Terms at any time. Continued use of the Platform constitutes acceptance of updated Terms. 14. Governing Law These Terms are governed by the laws of the Republic of the Philippines. Disputes shall be resolved under Philippine jurisdiction.
